By using this Site, you signify your assent to these Terms and Conditions (“Terms”) and our Privacy Policy, located at https://studioseaview.com/privacy-policy/ which is incorporated into these Terms. The Privacy Policy explains how we collect, use, and share information about you when you visit our Site, interact with our emails, newsletters, and promotional materials, use our related services, and interact with us offline. If you do not agree to these Terms , please do not use the Site. We reserve the right, at our discretion, to change, modify, add, or remove portions of these Terms at any time. Please check these Terms periodically for changes. Your continued use of the Site following the posting of changes to these Terms will mean you accept those changes.

From time to time, we may supplement these Terms with additional terms relevant to specific content or events (“Additional Terms”). These Additional Terms may be placed on this Site to be viewed in connection with the specific content or events and shall be identified as such. You understand and agree that such Additional Terms are hereby incorporated by reference into these Terms.

RESTRICTIONS ON USE OF MATERIALS

No material from this Site may be copied, reproduced, republished, amended, modified, revised, edited, changed, added to, deleted, uploaded, posted, transmitted, or distributed in any way, without our express written permission. You may download one copy of the materials displayed on the Site for your personal, non-commercial home use only, provided you keep intact all copyright and other proprietary notices. Modification of the materials or use of the materials for any other purpose is prohibited. All trademarks, service marks, copyrights,  trade names, and other intellectual property rights are proprietary to Studio Seaview and are to be kept intact.

In the event you download any material from the Site, the material, including any software, files, images, graphics or text are licensed to you by Studio Seaview. We do not transfer title to such material to you. You own the medium on which the material is recorded, but Studio Seaview retains full and complete title to the material at all times, and all intellectual property rights therein. You may not add, delete, distort, or otherwise modify the contents on the sites. Any unauthorized attempts to modify any online material, to defeat or circumvent our security features, or to utilize the Site for anything other than its intended purpose is prohibited.

Any communication or material, which is transmitted by you to the Site by electronic mail or otherwise, will be treated as non-confidential and non-proprietary. Accordingly, anything you transmit or post may be used by us or our affiliates for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, broadcasting and posting. Furthermore, we shall be free to use any ideas, concepts, know-how or techniques contained in any communication you send to us for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products or events using such information.

TERMS OF USE

You alone are responsible for the content of your messages and the consequences of such messages, which you submit to the Site. You shall not upload to, distribute through, or otherwise publish through the Site any content which in the opinion of Studio Seaview:

  • may constitute libel, defamation, invasion of privacy, or is obscene, pornographic, abusive, or threatening;
  • may infringe any intellectual property or other right of any entity or person;
  • may violate any applicable law or advocates illegal activity;
  • advertises or otherwise solicits funds or is a solicitation for goods, services, advertisers or sponsors or otherwise engages in commercial activity;
  • includes programs which may contain viruses, worms, trojan horses or other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunication;
  • contains links to other sites that contain the kind of content which falls within the descriptions set out  above.

You shall not use the Site for distributing, disseminating or posting any chain letters, junk mail, ‘spamming’ material or any other form of bulk communication and you specifically acknowledge that soliciting other Studio Seaview guests to join or become members of any commercial online service or other organization is expressly prohibited.

By uploading materials to the Site or submitting any materials to us, you automatically grant (or warrant that the owner of such rights has expressly granted) us a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, communicate, perform, display and distribute such materials (in whole or in part) or incorporate such materials into any form, medium, or technology now known or later developed throughout the universe for the full term of any rights that may exist in such material. In addition, you warrant that the holder of any rights, including moral rights in such content, has completely and effectively waived all such rights and validly and irrevocably granted to you the right to grant the license stated above. You also permit any other member/subscriber to access, display, view, store and reproduce such material for personal use.

You shall not infringe any third party rights through your use of the Site, or your activities conducted from the Site, including without limitation, the intellectual property rights of others. You further agree not to use in any way any of our trademarks or other intellectual property, or in any way to represent yourself or your Site or the activities on your Site as connected with us, or link to the Site in any manner whatsoever without our express prior written consent and not to damage, interfere with or disrupt access to the Site or do anything that may interrupt or impair its functionality. You must not conduct any systematic or automated data collection activities, including but not limited to scraping, data mining, data extraction and data harvesting, on or in relation to our websites without express written consent. The contents of our Site may not be used for the purposes of training AI systems without our written consent.

TERMINATION

These Terms are effective until terminated by either party. Notwithstanding the foregoing, any provisions of these Terms, which by their nature must continue beyond the termination of these Terms, will survive the termination of these Terms. You may terminate these Terms at any time by destroying all materials obtained from this Site and all related documentation and all copies and installations thereof, whether made under these terms or otherwise. These Terms will terminate immediately without notice from Studio Seaview if in Studio Seaview’s sole discretion you fail to comply with any of these Terms. Upon termination, you must destroy all materials obtained from this Site and all copies thereof, whether made under these Terms or otherwise.

LINKS

From time to time we will make available to you links from the Site to third party sites. These sites are not in any way approved, checked, edited, vetted or endorsed by us and you agree that we shall not be responsible or liable in any way for the content, advertising or products available from such sites, the quality, functionality, suitability or legality of such sites or for any dealings that you may have, or the consequences of such dealings, with such third party site operators. You also agree that any dealings you have with such third party site operators shall be on the terms and conditions (if any) of the third party operator and you hereby waive any claim you might have against us with respect to such sites. You agree that we are not liable in any way for and you agree to indemnify us in the manner referred to below in these Terms in relation to such dealings. Any arrangements made between you and any third party named on the Site are at your sole risk and responsibility.

From time to time, third parties may link to our Site without our express consent or knowledge. Studio Seaview is not responsible in any way for any dealings which you may have with these unauthorized sites or any content which may be displayed or linked to by these third parties. If you do come across any link which is offensive or otherwise unsuitable or inappropriate to Studio Seaview or our users please let us know.

LIMITATION OF LIABILITY

You expressly agree that your use of and browsing of the Site are at your own risk. Neither Studio Seaview nor any other party involved in creating, producing or delivering the Site is liable for any direct, incidental, special, consequential, indirect or punitive damages arising out of your access to, or use of, or inability to use the Site or for the cost of procurement of substitute goods or services or resulting from any goods or services purchased or obtained or messages received or transactions entered into through the Site or resulting from any unauthorized access to or alteration of your transmissions or data, including but not limited to, damages for loss of profits, use, data or other intangible property, even Studio Seaview has been advised of the possibility of such damages.

Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you. In no event shall Studio Seaview’s total liability to you for all damages, losses, and causes of action (whether in contract, tort (including, but not limited to, negligence), or otherwise) exceed the greater of the (i)amounts paid to Seaview over the prior twelve (12) months or (ii) fifty U.S. dollars ($50.00)..

You agree to indemnify, keep indemnified, defend hold Studio Seaview, subsidiaries, affiliates and their respective officers, directors, employees, owners, agents, information providers and licensors harmless from and against any and all claims, damages, liability, losses, costs and expenses (including legal fees) (whether or not foreseeable or avoidable) incurred or suffered by any of these parties and any claims or legal proceedings which are brought or threatened arising from your use of, connection with or conduct on the Site or any breach by you of these Terms. Studio Seaview reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to co-operate with our defense of such claim.

 JURISDICTIONAL ISSUES

Unless otherwise specified, the materials in the Site are presented solely for the purpose of promoting the product and associated products, events and services of Studio Seaview. This Site is controlled and operated by Studio Seaview from its offices within the US. Studio Seaview makes no representation that materials in the Site are appropriate or available for use in other locations. Those who choose to access this Site from other locations do so at their own risk and are responsible for compliance with local laws, if and to the extent local laws are applicable.

In the event that any provision of these Terms conflicts with the law under which the Terms are to be construed or if any such provisions are held invalid by a court with jurisdiction over the parties to the Terms, such provision will be deemed to be restated to reflect as nearly as possible the original intentions of the parties in accordance with applicable law, and the remainder of these Terms will remain in full force and effect.

These Terms shall be governed by and construed in accordance with the laws of New York State. You agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in the New York County of the State of New York or the federal courts located in New York City, New York. If any provision of these Terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. These Terms and any Additional Terms constitute the entire agreement between us relating to the subject matter herein and shall not be modified except in writing, signed by both parties.

DISCLAIMER

The Site and the materials contained in the Site are provided “as is” and “as available” and without warranties of any kind either express or implied. To the fullest extent permissible pursuant to applicable law, Studio Seaview disclaims all warranties, express or implied, including, but not limited to, implied warranties of satisfactory quality and fitness for a particular purpose or non-infringement of third party intellectual or proprietary rights.

Please note that some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. Check your local laws for any restrictions or limitations regarding the exclusion of implied warranties.

Studio Seaview does not warrant that the Site, the materials or any function of the Site will be uninterrupted or error-free, that defects will be corrected, or that this Site or the server that makes it available are free of viruses or other harmful components. Studio Seaview does not warrant or make any representations regarding the use or the results of the use of the materials in this Site in terms of their correctness, accuracy, reliability, or otherwise. We will not be held responsible for the security of the Site or for any disruption of the Site however caused, loss of or corruption of any material in transit, or loss of or corruption of material or data when downloaded onto any computer system.

You will remain responsible and liable for material you upload on to or access from the Site and you will indemnify us in the manner set out below in the Terms in relation to your accessing or uploading. Studio Seaview also assumes no responsibility and shall not be liable for any damages to or viruses that may infect your computer equipment or other property on account of your access to, use of, or browsing in the Site or your downloading of any materials, data, text, images, video or audio from the Site. You (and not Studio Seaview) assume the entire cost of all necessary servicing, repair, or correction which may need to be carried out to your computer system.

TICKETING TERMS & CONDITIONS

These Terms and Conditions relate to the sale of tickets for theatre shows held at the theatre owned by Studio Seaview LLC. 

Tickets may be purchased online through The Company’s website (or through the website of an official authorized agent), by phone or directly through a theatre box office. Online bookings may be subject to booking, service, or processing fees which will be indicated to you prior to placing an order. Such fees may be subject to change. Per state and local laws, some tickets may also be subject to tax, which will be displayed either separately or included in the total amount due. 

All information on accounts and orders must be valid and are subject to verification. Orders are subject to credit card approval, and are processed only after the billing address associated with your credit card and other billing information have been verified. Orders that are placed, or attempted to be placed, using an account with any information that is found to be false, misleading, incorrect, or incomplete, or that cannot be verified as belonging to the account holder—such as name, address, email address, phone number, IP address, or other account or billing information—are subject to cancelation, at any time. Furthermore, if your order is canceled for any of the foregoing reasons, we may sell your tickets to another customer without further notice.

  1. All purchasers of tickets must be 16 years of age or over.
  2. The Company reserves the right to make alterations to the advertised time, program or cast of a theatre production without being obliged to refund monies or exchange tickets.
  3. Tickets cannot be refunded unless a performance is officially cancelled. If a performance is cancelled, ticket holders will be offered alternative performances (subject to availability) or a refund of the seat value (excluding any service, facility, booking or other fees). The Company will not be liable for any additional expenses incurred by customers in the event of a cancelled performance.
  4. If an event is postponed, rescheduled, or moved: your ticket(s) (including any additional add-ons or upgrades) are still valid, and no further action is required. However, The Company may approve refunds, or the option to choose between a refund or a credit, for the event; any refund and/or credit policies are determined on an event-by-event basis by, and may be subject to limitations set by The Company. If the Event Organizer approves refunds and/or credits, we will send you a notification explaining your options, and you may submit a request for a refund or credit. Alternatively, you may simply keep your ticket(s) to the postponed, rescheduled, or moved event.
  5. If your event is canceled, postponed, rescheduled, or moved, we will attempt to contact you to update you on the status of the event, and inform you of any refund, credit, or exchange procedures. For exact instructions on any particular canceled, postponed, rescheduled, or moved event, please check the event information online and in your account (which will include the most current information on the status of the event), or contact us. We will not be liable for travel or any other expenses that you or anyone else incurs in connection with a canceled, postponed, rescheduled, or moved event.
  6. Tickets, including hospitality packages, for all events are non-refundable once purchased. Purchasers may choose to opt into the SecureMyBooking Ticket Refund Program to obtain a refund under certain circumstances, as detailed here: https://securemybooking.com/terms/usa/ 
  7. Every member of the audience, regardless of age, must be in possession of a valid ticket in order to gain entry to the theatre. Children under the age of 16 must be accompanied by and sat next to a parent or guardian who is at least 18 years old.
  8. Ticket holders only have a right to a seat of the value corresponding to that stated on the ticket and The Company reserves the right to provide alternative seats to those stated on a ticket.
  9. All tickets remain the sole property of The Company.
  10. The delivery methods available for tickets from The Company are:
    E-Ticket: this will take the form of a pdf attachment to an email which will contain all the ticket information and QR code that will grant access to the venue. The E-Ticket must be scanned at the venue to gain entry. For paperless entry, it can be scanned from a mobile phone. Customers can also print it out themselves to have a hard copy, should they wish. This delivery method is free of charge to the customer.
  11. Confirmation of purchase for tickets purchased through The Company Site will be provided on completion of the booking transaction in a durable medium, via email. Tickets with valid barcodes/QR codes for entry may be delivered any time up to 24 hours prior to the performance.
  12. It is the responsibility of the customer to verify receipt of emails containing both the confirmation of ticket purchase and the tickets. If you have not received either of these emails, please check your deleted, junk or spam email folders as some email providers divert The Company’s emails to junk or spam folders, for which The Company is not responsible and The Company shall not be liable to the customer for any losses (monetary or otherwise), refunds or exchanges of tickets in these circumstances.

  13. Please contact Studio Seaview customer relations at [email protected] or (212) 542 –3147 as soon as possible if you have not received your confirmation of purchase email within 24 hours or your email containing the tickets by 24 hours prior to the performance time. NEVER make an assumption about the status of your order because you have not been contacted by us. Orders cannot be canceled due to problems with receipt of emails.
  14. Tickets are non-transferable and must not be resold or transferred to any person or entity for commercial gain or otherwise. If any tickets are resold or transferred (or are attempted to be resold or transferred) for commercial gain by anyone other than official resellers of The Company, then the tickets will become void and the ticket holder will be a trespasser and may be refused entry to, or ejected from, the theatre. In such circumstances, The Company will not be under any obligation to offer a refund and such person may be liable to legal action.
  15. If one person buys multiple tickets, the provision by the purchaser of the tickets to their guests will not constitute a breach of the transfer restrictions under these terms and conditions (provided that the provision of tickets to guests is not made for commercial gain). However, the purchaser agrees that by purchasing tickets, they have agreed to these terms and conditions on behalf of themselves and their guests and the purchaser shall at all times be responsible for their guests’ compliance with these terms and conditions.
  16. All lottery, day seats, and tickets purchased at a group or promotional rate are non-refundable and non-exchangeable.
  1. When purchasing tickets on our Site, you are limited to a specified number of tickets for each event (also known as a “ticket limit”). This ticket limit is posted during the purchase process and verified with every transaction. This policy is in effect to discourage unfair ticket buying practices. Each account must be linked to a unique individual, and must contain valid and verifiable information. Multiple accounts may not be used to circumvent or exceed published ticket limits. If you exceed or attempt to exceed the posted ticket limits, we reserve the right to cancel, without notice, any or all orders and tickets, in addition to prohibiting your ticket purchasing abilities. Any tickets canceled due to violating the posted ticket limit may be refunded at face value (excluding fees). This includes orders associated with the same name, e-mail address, billing address, credit card number, or other information. The Company may restrict ticket sales to a maximum number per person or household and reserves the right to cancel any tickets purchased in excess of this number.
  2. For the avoidance of doubt, all ticket sales are subject to and governed by the full Terms and Conditions. 

ADMISSIONS POLICY

This Admissions Policy applies to the theatre operated by the Company. By entering or attempting to enter the theatre operated by the Company you have accepted the terms contained in this Admissions Policy.

  1. Entry and Security

1.1 The Company reserves the right to refuse admission in reasonable circumstances including for health, safety and licensing reasons or where a ticket is void.

1.2 Customers are advised that CCTV is in operation at the Company’s theatre for the purpose of crime prevention and public safety.

1.3 We reserve the right to conduct security searches as a condition of entry to protect the safety of all customers and staff. We may conduct searches of clothing, bags and other items on entry and exit at our theatres. The Company thanks customers in advance for their co-operation.

1.4 Customers are not permitted to bring any items into the theatre which are illegal or are deemed by the theatre management (at their sole discretion) to pose a health and safety risk, affect the enjoyment of others, cause disruption to the performance or cause damage to the Company’s property.

1.5 Customers may not bring their own food or drink into the theatre, but empty reusable water bottles will be permitted. If a customer has specific medical requirements in this respect they should ask to speak to a member of theatre management upon arrival.

1.6 Customers should avoid bringing large suitcases or bags to the theatre as these may not be admitted and cloakroom availability cannot be guaranteed.

1.7 Latecomers will be admitted to the theater at the sole discretion of theater management. Admission cannot always be guaranteed and refunds or exchanges for an alternative performance will not be given.

1.8 Customers may only leave and re-enter the theatre at the discretion of the theatre management, otherwise there will be no re-admissions of any kind.

  1. Age Restrictions

2.1 Babies and children under 4 years of age will not be admitted into the auditorium unless the production is specifically advertised as being suitable for children under the age of 4 or the performance is a designated Accessible Performance*.

2.2 Children under the age of 16 must be accompanied by an adult aged 18 years or over, who must be seated with the child and accompany them throughout their visit. It is the customer’s responsibility to check the suitability of a performance for any children in their party regardless of any official age recommendation guidance.

2.3 In the interests of other customers, parents or guardians may be asked to take noisy or disruptive children out of the auditorium.

  2. 3.1 Any customers who are intoxicated or are disruptive, abusive or violent towards theatre staff, audience members or performers will be ejected from the theatre. In such circumstances no refunds will be given. The Company will not tolerate any form of abusive or aggressive behavior towards its staff.  The Company reserves the right to decline to respond to, or to disengage with, customers who behave in an abusive or aggressive manner in our theatres or who write abusive or aggressive correspondence, messages or comments, including the right to refuse to address refund requests and complaints in such circumstances.

3.2 The Company reserves the right to refuse to serve alcohol to any customer that appears to be intoxicated or likely to become intoxicated and to ask for proof of age prior to serving any alcohol.

3.3 Customers must comply with reasonable instructions and directions given by theatre management and front of house staff.

3.4 Mobile phones, tablets, digital or smart watches, laser pens and any other electronic equipment should be disabled when inside the auditorium to avoid disturbing the performers and other customers.

3.5 The unauthorized use of video, photographic and other recording equipment of any kind is strictly prohibited in the auditorium. The Company reserves the right to delete any unauthorized recordings and to eject any customers who are suspected of making recordings from the theatre.

  1. General

4.1 The Company does not accept responsibility for the loss or damage of any personal property or for any liability (to the fullest extent permitted by law).

4.2 The Company does not accept responsibility for the behavior of other customers in the theatre.

4.3 Smoking and vaping are not permitted inside the theatre.

4.4 Any comments or complaints regarding matters affecting a customer’s enjoyment of the performance should be made promptly to a member of theatre management before or during the performance. 

4.5 Performances may be filmed or recorded on occasion. Ticket holders automatically consent to the filming or sound recording of themselves as audience members. If you have any objections to being filmed or recorded please speak to a member of the theatre management before the performance begins.

4.6 Animals are not permitted inside the theatre, with the exception of service dogs. Service dogs must be harnessed, leashed, or tethered, unless the individual’s disability prevents using these devices or these devices interfere with the service animal’s safe, effective performance of tasks. In that case, the individual must maintain control of the animal through voice, signal, or other effective controls.

4.7 The theatre will make all reasonable efforts to forewarn customers if stroboscopic lighting may be used in the performance. Customers with known medical conditions who may be susceptible to such lighting effects are advised to seek further advice prior to their visit.

4.8 The Company reserves the right to vary the terms of this Admissions Policy for specific productions or events. Any such variations will be notified to customers prior to or on arrival at the theatre.
